.�.. <br />� , s <br />ARTICLE 2 - OFFICERS <br />Section 1, Officers. The officers of the Corporation shali be a <br />President, a Vice-President, a Secretary, and a_,�inancial Officer. <br />Section 2. President. The President shall preside at all meetings of <br />the Corporation. Except as otherwise authorized by resolution of the <br />Board of Directors, the President shall sign all contracts, deeds and <br />other instruments made by the Corporation. At each meeting, the <br />President shall submit such recommendations and information as <br />elshe.may consider proper concerning the business, affairs, and <br />policies of the Corporation. <br />Section 3. Vice-President. The Vice-President shall perform the <br />duties of the President in the absence or incapacity of the President; <br />and, in the case of fihe resignation or death of the President, the Vice- <br />President shall perform such duties as are imposed on the President <br />until such time as the members of the corporation shall select a new <br />President. <br />Section 4. Secretarv. The Secretary shall act as Secretary of the <br />meetings of the Board of Directors and record all votes, shall keep a <br />record of the proceedings of the Corporation, and shall perForm all <br />duties incident to the office. <br />Section 5. Financial �fficer. The Ci of Pec�uot Lakes has the care_ <br />and custody of all funds of the Gorporation (Pequot Lakes Commun�tv <br />Libr.�r�n��l��o�its the same in the nam��f �_C�rnoration in such <br />�k�nk or banks a� the Librarv Board of Dir��t�m.��l�ct. It �ians <br />all orders and checks for the pa�.ment of rnoney and �ys out .� <br />disburses such monies under the direction of the Board_ , <br />The Financial officer shall keep rec,�ular accounts showinq <br />r_� � and expenditures and shall render to the Board at each <br />r�e�tina (nr when ren� t�e 1 an account of transactions and also the <br />financial condition of the Cor oration and make rec mmendatiQns. <br />�ccordinglv The Financial Officer will attend meetings reauested bv <br />t�Cit,y of Peq�ot Lakes and also �rovide and nresent to the Gity <br />rouncil annual budQets as requested. <br />
