PART II <br /> OWNER RESPONSIBILITIES <br /> A. In addition to other responsibilities of Owner set forth in this Agreement,Owner shall: <br /> 1. Identify a person authorized to act as the Owner's representative to respond to questions and <br /> make decisions on behalf of Owner, accept completed documents, approve payments to Spring <br /> Lake Engineering, and serve as liaison with Spring Lake Engineering as necessary for Spring Lake <br /> Engineering P.A.to complete its Services. <br /> 2. Assist Spring Lake Engineering P.A. in acquiring copies of existing documents and data pertinent <br /> to the Scope of Services, including but not limited to and where applicable: PLC and PanelView <br /> programs, backups of the SCADA server,and design and record drawings for existing facilities. <br /> 3. Provide Spring Lake Engineering P.A. and Total Control Systems Inc. safe access to premises <br /> necessary to provide the Services and Contractors for installation. <br /> 4. Coordinate system shutdowns with the PRASD service area. Provide coordination with the local <br /> service provider which supports each computer system. <br /> 5. Provide internet service with a static IP address for use by the router for Remote Access <br /> PART III <br /> COMPENSATION,BILLING AND PAYMENT <br /> A. Compensation for the work as defined in the Scope of Services (Part I) of this Agreement shall be in <br /> accordance with Spring Lake Engineering P.A.'s standard billing rates in effect at the time the <br /> Services are performed. Routine expenses will be billed at cost.The total cost of Option 1 ($76,759), <br /> or the total cost of Option 2($63,508)will not be exceeded without written approval from Owner. <br /> B. Spring Lake Engineering P.A. will bill Owner monthly,with net payment due in 30 days. If the billing <br /> cycle of Owner is missed, payment will be made the next billing cycle. <br /> C. Spring Lake Engineering P.A. will notify Owner if changes to the scope, duration, or hardware costs <br /> of the project require modifications to the above-stated contract value.
