6. Assignment, Amendments, Waiver and Contract Complete <br />�- 6.1 Assignment: Neither the User nor the Provider may assign nor transfer any <br />rights or obligations under this Agreeinent without the prior written consent of <br />all parties hereto. Any approved assignment must be set forth in a fully <br />executed Assigninent Agreeinent attached to this Agreement approved by the <br />same parties who executed and approved this Agreement. Should any party <br />not consent to an assigmnent that party may tenninate its involvement with <br />this Agreement. Access as provided in section 2.5 will not constitute an <br />assignment. <br />6.2 Amendments: Any amendment to this agreement must be in writing and will <br />not be effective until it has been executed and approved by each party's <br />Authorized Representative. <br />6.3 Waiver: If any party fails to enforce any provision of this Agreement that <br />failure does not waive the provision or its right to enforce it. <br />6.4 Contract Complete: This Agreement, plus attached Certification Form, <br />contains all agreements between User and Provider. Duly adopted <br />amendments to this Agreement, will be written, signed by the parties, and <br />� attached to each copy of the original Agreement. <br />� <br />7. Liability <br />Each party to this Agreement will indemnify, save and hold hannless the other parties, <br />their agents and employees from any claiins or causes of action, including attorney's fees <br />incurred by the other party, arising out of the performance of this Agreement by the <br />party, its agents or employees. This clause shall not be construed to bar any legal <br />remedies each party may have for the other party's failure to fulfill its obligations under <br />this Agreement. This clause shall not be construed to limit or waive any defenses one <br />party may have against another. <br />8. Government Data Practices <br />The Provider and User must comply with the Minnesota government Data Practices Act, <br />Minnesota State Statute Chapter 13, as it applies to all data provided to the User and <br />submitted to the Provider under this Agreement and as it applies to all data created, <br />collected, received, stored, used, maintained or disseminated by the Provider and the User <br />under the Agreeinent. The civil remedies of Minnesota State Statute 13.08 apply to the <br />release of the data referred to in this clause by either the Provider or the User. <br />� <br />
