4.2 Voting and Common Expenses. Except for special allocations of voting <br /> rights and Common Expenses permitted by Article 6 or otherwise provided for in this <br /> Declaration, voting rights and Common Expense obligations shall be allocated equally <br /> among the Lots with each Lot having one (1) vote. <br /> 4.3 Appurtenant Rights and Obligations. The ownership of a Lot includes the <br /> voting rights and Common Expense obligations described in this Declaration, and these <br /> rights and obligations (along with title to a Lot) shall not be separated or conveyed <br /> separately. <br /> 4.4 Voting Authority. The Owner, or a natural person designated as the <br /> Owner's proxy who need not be an Owner, may cast the vote allocated to the Owner's <br /> Lot at Association meetings. If there are multiple Owners of a Lot, only one Owner or <br /> other Person designated pursuant to the Bylaws may cast the vote allocated to the Lot. <br /> The Bylaws more fully detail the Owners' voting rights. <br /> 4.5 Developer Control. Notwithstanding this Article's voting provisions, <br /> Developer may appoint all Board members and Association officers during the period of <br /> Developer control or until Developer voluntarily surrenders control. <br /> ARTICLE 5 <br /> ADMINISTRATION <br /> 5.1 General. The Association shall be responsible for the operation, <br /> management and control of the Common Elements, subject to the rights of Developer <br /> and the Owners as set forth in the Governing Documents. All of the Association's <br /> power and authority shall be vested in the Board, unless action or approval by the <br /> individual Owners or Developer is specifically required by the Governing Documents. <br /> All references to the Association shall mean the Association acting through the Board <br /> unless specifically stated otherwise. <br /> 5.2 Binding Effect of Actions. All of the Association's actions will be binding <br /> upon all Owners and Occupants and any other Person with an interest in the <br /> Development. <br /> 5.3 Bjdaws. The Bylaws will govern the Association's operation and <br /> administration and will be binding on all Owners and Occupants. <br /> 5.4 Management. The Board may delegate to a manager or managing agent <br /> the duties of the Association's officers and directors, but any delegation will not relieve <br /> the officers and directors of their responsibility for performing their duties. <br /> 5.5 Rules and Regulations. The Board has authority to approve and <br /> implement appropriate and reasonable Rules and Regulations regulating the use of the <br /> Development and the Common Elements.
