8.3 Effective Date, Recording. Amendments will be effective on the date of <br /> approval by the Owners and need not be recorded. If recorded, it will be recorded in <br /> the recorder's office for the county where the Lots are located. <br /> SECTION 9 <br /> INDEMNIFICATION <br /> The Association will, to the extent not covered by insurance, indemnify every <br /> individual acting in an official capacity for the Association, pursuant to the provisions of <br /> Minnesota Statutes 317A.521. <br /> SECTION 10 <br /> MISCELLANEOUS <br /> 10.1 Notices. Unless provided otherwise in the Governing Documents, any <br /> notice required to be given shall be in writing and shall be delivered by U.S. mail or by <br /> hand to the address of the Lot or another address provided by the person receiving <br /> notice. Notice is given when mailed, or if hand delivered, when it is delivered. <br /> 10. 2 Severability. The invalidity or unenforceabilty of any part of these Bylaws <br /> will not affect the validity, enforceability or effect of the rest of the Bylaws. <br /> 10.3 Captions. All captions are inserted for reference and do not limit or <br /> prescribe the scope of these Bylaws or their intent. <br /> 10.4 Conflicts in Documents. In the event of any conflict between the Bylaws <br /> and Rules or Regulations, the Bylaws shall control, and between the Bylaws and the <br /> Declaration, the Declaration shall control. <br /> 10.5 Waiver. No restriction, condition, obligation or provision contained in the <br /> Bylaws will be considered waived by any failure to enforce the same, irrespective of the <br /> number of violations or breaches that may occur. <br /> 10.6 No Corporate Seal. The Association shall have no corporate seal. <br /> 10.7 Fiscal Year. The Board will determine the fiscal year for the Association. <br /> The undersigned executes these Bylaws and certifies that they were adopted by <br /> Trallside Estates Homeowners Association, a Minnesota non-profit corporation, <br /> effective as of . 2006. <br /> Colleen V.
