1. Authority. The operation and administration of the Association and the <br /> Property shall be governed by the Declaration filed with the Crow Wing County <br /> Recorder, Articles of Incorporation, these Bylaws, and the Act. The Association shall, <br /> subject to any rights reserved to the Members, be responsible for the management and <br /> control of the Property. The power and authority of the Association shall be vested in <br /> the Board, unless action or approval by the individual Members is specifically required <br /> by said documents or the Act. All references to the Association shall mean the <br /> Association acting through the Board, unless specifically stated to the contrary. <br /> 2. Binding_ Effect. All agreements and determinations made by the <br /> Association in accordance with the powers and voting rights established by the Articles <br /> of Incorporation, these Bylaws or the Act shall be binding upon all Members and <br /> occupants, and their guests, heirs, personal representatives, successors and assigns. <br /> 3. Delegation to Managers. The Board may delegate to a qualified, <br /> professional manager or managing agent part or all of the management duties imposed <br /> upon the Association's officers and directors by the Articles of Incorporation, the <br /> Bylaws, and the Act; provided, however, that such delegation shall not relieve the <br /> officers and directors of the ultimate authority and responsibility for the performance of <br /> their duties as prescribed by said documents and the Act. <br /> 4. Common Expense Assessments. Assessments for expenses of operating <br /> the Association (the"Common Expenses") shall be determined and levied as follows: <br /> a. The Board shall have exclusive authority to determine the Common <br /> Expenses and levy the Common Expenses against the memberships. <br /> The Board shall annually prepare a budget of Common Expenses, and <br /> give notice of the budget and assessments to the Members, at least 30 <br /> days prior to the commencement of the year for which the Common <br /> Expenses are levied. The Board may amend its Common Expense levy <br /> for the year in question at any time, or levy a special assessment, to cover <br /> any unforeseen expenses. <br /> b. Common Expense assessments shall be allocated and levied equally <br /> among the memberships. <br /> C. Common Expense funds shall be used in a manner consistent with the <br /> purposes of the Association as set forth in its governing documents and <br /> for the payment of all costs incurred by the Association in furtherance of <br /> its purposes. <br /> d. The Members owning the membership shall be jointly and severally liable <br /> to pay the Common Expense assessments with respect to their <br /> membership. <br /> 9 <br />
