shall name in writing one of their number as their delegate to cast the vote <br /> for that membership. <br /> b. Written notice of the designation of the delegate must be provided to the <br /> Secretary of the Association before the delegate may vote at a meeting. <br /> All Members owning the membership may change this delegate in writing. <br /> C. In case of an unresolved dispute among the Members occupying a Unit as <br /> to the designation of the delegate, the vote for the membership shall not <br /> be counted. <br /> d. Notwithstanding anything to the contrary in these Bylaws, no Member <br /> shall be eligible to vote, nor to be an officer or Member of the Board, who <br /> is shown on the books or accounts of the Association to be more than 30 <br /> days delinquent in payments due the Association. <br /> 3. Voting by Ballot. The Board may, in its discretion, conduct a membership <br /> vote on any issue entirely by mail, or allow a Member who is absent from any meeting <br /> of the Members to vote by ballot for the election of directors or upon any motion, <br /> resolution, or amendment, which the Board may, in its discretion, submit, to the <br /> Members for a vote. Such ballot shall be (1) in the form prescribed by the Board; (2) <br /> contain the exact text of the proposed motion, resolution or amendment to be acted <br /> upon at such meeting and the date of the meeting; and (3) contain spaces opposite the "\ <br /> text of such motion, resolutions, or amendment in which such Members may indicate an <br /> affirmative or negative vote. Such Member shall express a choice by marking an "X° in <br /> the appropriate space upon such ballot. The ballot shall be signed by the Member (or <br /> by the delegate in the case of multiple Members in a Unit).. The ballot shall be accepted <br /> and counted as the vote of such absent Member at such meeting, if received by the <br /> Secretary before the meeting, or if received by the deadline designated by the Board if <br /> the vote is entirely by mail, or if received by the deadline designated by the Board if the <br /> vote is entirely by mail. <br /> 4. Vote Required The concurring vote of Members who are authorised to <br /> cast at least a majority of the votes represented by all Members present, in person or by <br /> ballot, at any meeting of the Members, or a majority of those voting if the vote is totally <br /> by mail, shall decide all matters properly brought before such meeting. The term <br /> "majority" as used herein shall mean in excess of 50% of the vote's cast, based upon <br /> one vote per membership. Notwithstanding the foregoing, a unanimous vote of the <br /> Members shall be required to (i) change the common expense allocations, (ii) change <br /> the allocation of real estate taxes, (iii) mortgage or sell the Association property, or (iv) <br /> amend the Articles of Incorporation or Bylaws.
