SENTINEL OFFICE PARK OWNERS ASSOCIATION <br /> BYLAWS <br /> ARTICLE I <br /> GENERAL <br /> 1. The following are the Bylaws of Sentinel Office Park Owners Association, <br /> a Minnesota nonprofit corporation (the "Association"). The Association is organized <br /> pursuant to Minnesota Statutes Chapters 317A and 515B (collectively the "Act") for the <br /> purpose of operating as an Association. The terms used in these By-Laws shall have <br /> the same meaning as they have in the Declaration of Sentinel Office Park (the <br /> "Declaration"). <br /> ARTICLE 11 <br /> MEMBERSHIP <br /> 9,1 Members De.finAd. All Pgrsons described as Owne.rs in the Declaration <br /> shall be members of the Association. No Person shall be a member solely by virtue of <br /> holding a mortgage on a Unit. A Person shall cease to be a member at such time as <br /> the Person is no longer an Owner. <br /> 2.2 Registration of Owners and Occupants. Each Owner shall register with <br /> the Secretary of the Association, in writing, within 30 days after taking title to a Unit, (i) <br /> the name and address of the Owners and any Occupants of the Unit; (ii) the nature of <br /> such Owner's interest or estate in each Unit owned; (iii) the address at which the Owner <br /> desires to receive notice of any meeting of the Owners, if other than the Unit address; <br /> (iv) the name and address of the security party holding the first mortgage on the Unit, if <br /> any; and (v) the name of the Owner, if there are multiple Owners of the Unit, who shall <br /> be authorized to cast the vote with respect to the Unit. The Owner shall have a <br /> continuing obligation to advise the Association in writing of any changes in the foregoing <br /> information. <br /> ARTICLE III <br /> VOTING <br /> 1. Entitlement. Each unit shall be allocated one vote, regardless of the <br /> number of Members entitled to occupy the Unit to which the membership relates. <br /> 2. Authority to Cast Vote. At any meeting of the Members, a Member shall <br /> be entitled to cast the one vote, which is allocated to the Member's membership, in <br /> accordance with the following procedures: <br /> a. If a membership is owned by more than one person, all such persons shall <br /> be considered one Member for purposes of voting, and all such persons <br /> 1 <br />
