Payments: The Utility Owner will deal directly with MnDOT when making or <br /> receiving payment(s) for the performance of utility work, or making payments for <br /> Betterments. If the Utility Owner performs the reimbursable Utility Work, MnDOT <br /> will make payments pursuant to the Work Order. <br /> J. No Offsets: The Utility Work performed under each Work Order will be treated as <br /> a separate job with separate billing. There will be no offsets between the amounts <br /> one party owes the other, whether for the same Work Order or for different Work <br /> Orders, except for the Betterment, salvage, and/or retirement value credits <br /> described in this MUA. <br /> XI. Betterment <br /> A. As MnDOT determines at its discretion, Betterment work may be eligible to be <br /> performed if: <br /> 1. It is compatible with the Project Work; <br /> 2. It would not Interfere with the Project Schedule; or <br /> 3. Separating the Betterment work from any related Utility Work that the <br /> Contractor is responsible for performing is feasible. <br /> B. The Utility Owner will be responsible for the cost of any Betterments. If the Utility <br /> Owner wishes to include eligible Betterment work at a location where the <br /> Contractor is responsible for performing the Utility Work, the Utility Owner will <br /> negotiate the cost (on a lump sum or actual cost basis) for that Betterment work <br /> directly with the Contractor. The Utility Owner must provide a copy of that lump <br /> sum amount or actual cost estimate to MnDOT. <br /> 1. If the Utility Owner authorizes the Contractor to do the Betterment work, <br /> MnDOT, the Utility Owner, and the Contractor must execute a Work Order <br /> describing the terms and conditions of that work. Upon the execution of the <br /> Work Order, the Utility Owner will pay the negotiated price of the <br /> Betterment work to MnDOT.
