not been made within a reasonable time,the County Engineer shall cause the trail to be closed to the public until said unsafe conditions are corrected. The County may, at its discretion, correct the unsafe condition. The City is responsible for all costs incurred by the County in correcting any unsafe condition. Costs to repair any damage to the trail caused by the County performing needed maintenance or reconstruction of the roadway, storm sewer, curb and gutter or any other portions of the roadway system, shall be the responsibility of the City. Cost to repair any damage caused by negligent actions of the County shall be repaired by the County. This does not make the County responsible for inspection of the trail for unsafe conditions. The County will provide no maintenance or reconstruction services for the sidewalk/trail systems or the Paul Bunyan State Trail. C. ROUNDABOUT INTERIORS-The City shall be responsible for general maintenance of the interior of the roundabout intersections. Maintenance includes,but is not limited to, vegetation control, litter and debris removal, removal and replacement of all dead or diseased plantings, and any other maintenance activities necessary to perpetuate the landscaping in a safe, usable and aesthetically acceptable condition. Any appurtenances, structures, landscaping, etc. to be placed within the roundabout shall have prior authorization from the County. D. STREET LIGHTING - The maintenance and power costs of any street lighting (proposed or future)will be the responsibility of the City. Maintenance of the lighting system includes everything within the system, from the point of attachment to the power source to the last light on the feed point including re-lamping of lighting units or replacing of LED luminaires,and repairs to any part of the system causing an outage. The City shall also be responsible for Gopher State One Call (GSOC) locates and painting of poles and other equipment.The City shall become the owner of the lighting systems installed. The County shall be responsible for the initial hook up cost and application to secure an adequate power supply to the service pad or pole. The County shall also be responsible for knockdown replacements of the lighting system. E. ROADWAY MAINTENANCE — Except as noted in Section IX above, each agency shall perform standard roadway maintenance on their individual roadways based upon their practices and policies. X. NOTICE For purposes of delivery of any notices hereunder, the notice shall be effective if delivered to the County Engineer of Crow Wing County, 16589 CR 142,Brainerd, Minnesota, 56401, on behalf of the County, and the City of Pequot Lakes, 4638 County Road 11, Pequot Lakes, MN 56472, on behalf of the City. XI. INDEMNIFICATION The City and the County mutually agree to indemnify and hold harmless each other from any claims, losses, costs, expenses or damages resulting from the acts or omissions of the respective officers, agents, or employees relating to activities conducted by either party under this Agreement. 4
