www.njpacoop,org National Joint Powers Alliance' <br /> Full-Voting Member <br /> Membership Agreement <br /> This Full-Voting Member Membership Agreement (hereinafter "Agreement") is entered into this <br /> day of ,20_,between <br /> (hereinafter <br /> "Participating Governmental Agency") and National Joint Powers Alliance® (hereinafter <br /> "NJPA"). <br /> Whereas, Minnesota Statutes §471.59 and §123A.21 authorizes the Full-Voting Members of <br /> NJPA to cooperatively exercise any power common to the contracting parties; and <br /> Whereas, NJPA provides for contract and vendor relationships to purchas e competitively bid <br /> supplies, materials, equipment, or services; and <br /> Whereas, the parties to this Agreement have determined that certain purchases and services can <br /> best be provided through the cooperative efforts of NJPA; and <br /> Whereas, Participating Governmental Agency asserts that it is authorized to exercise powers <br /> jointly with NJPA pursuant to Minnesota Statutes §123A.21 and §471.59, is authorized as a <br /> Governmental Agency, and is empowered to act cooperatively under Minnesota laws. <br /> Now,Therefore,The parties hereby agree as follows: <br /> 1. This Agreement amends and supersedes any previous Agreements between the <br /> parties and is effective upon execution. <br /> 2. A Joint Powers Board, acting within the NJPA Bylaws, shall govern the <br /> administration of NJPA. Full-Voting Members retain the right to nominate a representative from <br /> their Governing Boards to the NJPA Board of Directors. <br /> 3. Nothing herein shall prevent Participating Governmental Agency from applying <br /> for membership with other Minnesota Service Cooperatives. <br /> 4. Participating Governmental Agency shall be bound by the terms of this <br /> Agreement during any fiscal year in which it is a member. Participating Governmental Agency <br /> may withdraw from this Agreement by giving to NJPA before July 1 written notice of its <br /> intention to withdraw as a Full-Voting Member. Such withdrawal, however, shall become <br /> effective only on June 30 of the following fiscal period. The terms of withdrawal from NJPA <br /> shall be governed by Minnesota Statute §123A.24. <br />
