8. Independent Contractor Status. SPL acknowledges that SPL is an independent contractor <br /> and neither its attorneys nor its staff are not employees of the City. Neither SPL nor its <br /> employees are covered by any insurance obtained by the City. <br /> 9. Renewal. This Agreement may be renewed every three (3) years. Said renewal is <br /> contingent upon both SPL and the City issuing a written notice of intent to renew to the <br /> other party at least six(6)months before the expiration of the then current term. <br /> 10. Termination. This Agreement shall be terminated upon the occurrence of any of the <br /> following: (1) SPL's inability to carry on their practice due to disability, suspension of <br /> license, or retirement of one or more of the SPL attorneys; or(2) dissolution of Severson <br /> Porter Law,P.A.for any reason. This Agreement may be terminated for any reason by any <br /> party hereto upon providing six(6)months' written notice. <br /> 11. Ambiguity. The rule of construction that ambiguities shall be construed against the drafter <br /> shall not be applicable herein, all parties being represented by counsel. <br /> 12. Authority. The parties acknowledge and represent that the signors of this Agreement have <br /> the proper authority to bind themselves to this Agreement and that they are authorized to <br /> sign any agreement that may be reached by the parties. <br /> 13. Severability. If,for any reason, any term or provision of this Agreement shall be declared <br /> void and unenforceable by any court of law or equity, such invalidity or <br /> unenforceability shall affect only such particular term or provision of this Agreement, and <br /> the balance of this Agreement shall remain in full force and effect and shall be binding <br /> upon the parties hereto. <br /> 14. Governing Law. This Agreement shall be construed and enforced in accordance with the <br /> laws of the State of Minnesota.The parties hereto also consent to the exclusive jurisdiction <br /> of the courts of the State of Minnesota, and venued in Crow Wing County District Court, <br /> in any and all actions and proceedings between the parties hereto arising under or growing <br /> out of this Agreement and irrevocably agree to service of process by any means authorized <br /> under Minnesota law. <br /> 15. Counterparts and Electronic Signatures. This Agreement may be executed in multiple <br /> counterparts by the parties hereto. All counterparts so executed shall constitute one <br /> agreement binding upon all parties, notwithstanding that all parties are not signatories to <br /> the original or the same counterpart. Each counterpart shall be deemed an original to this <br /> Agreement, all of which shall constitute one agreement to be valid as of the date of this <br /> Agreement. Documents executed, scanned and transmitted electronically and electronic <br /> signatures shall be deemed original signatures for purposes of this Agreement and all <br /> matters related thereto,with such scanned and electronic signatures having the same legal <br /> effect as original signatures. <br /> Page 3 of 4 <br />
