Abrams & Schmidt LLC 3820 Cleveland Avenue North, Suite 100 Arden Hills, MN 55112 Phone: 651 - 332 -7907 / Fax: 651 -332 -7909 General Hourly Retainer Agreement I hereby retain the law firm of Abrams & Schmidt LLC to: Consult and provide legal advice and representation in labor relations matters. Duties of Abrams & Schmidt LLC: Abrams & Schmidt LLC agrees to the following: 1. To decline an offer of employment if the exercise of their independent judgment on behalf of the City of Pecluot Lakes (client) is likely to be adversely affected by the acceptance of the employment. 2. To keep confidential information gained in the professional relationship which would likely be detrimental to the client. 3. To faithfully represent the interests of the client. 4. To not withdraw from employment until they have taken reasonable steps to avoid foreseeable prejudice to the rights of the client, including giving due notice to the client, allowing time for the employment of other counsel, and delivering to the client all papers and property to which the client is entitled. 5. To provide cost- effective, prompt, and professional legal representation. 6. To provide updates to the client in a timely manner. 7. Any lawyer in the firm may be involved in representing the client. Client may communicate with any of the lawyers in the firm. Duties of Client I, Police Chief Eric Klang agree to cooperate with the lawyers from Abrams & Schmidt LLC, keep them informed of information and developments which come to the client's attention, to abide by this agreement and to pay the lawyers' bill on time. I understand Abrams & Schmidt LLC need not continue further with any legal work unless monthly bills from the firm have been satisfied and payment is up to date. Abrams & Schmidt LLC may discontinue representation and has the right to withdraw based on the nonpayment of legal fees or other charges.
