For the purposes of this contract,the design schedule begins on the effective date of this <br /> agreement and ends upon delivery of final construction documents to the Client.As described <br /> herein,the Architect's services may extend beyond this period. <br /> 2. The design schedule for the above mentioned scope is approximately 4 months. <br /> 3. The Architect cannot be held accountable for delays to the design schedule caused by <br /> unforeseen conditions,regulatory reviews and approvals,changes requested by the Client <br /> beyond the scope of this contract,or other circumstances beyond the Architect's control. <br /> Compensation and Payments <br /> 1. The Architect's compensation shall be$15,000.00 paid according to the following schedule: <br /> a. $4,000 due at completion of Schematic Design phase. <br /> b. $3,000 due at completion of Design Development phase. <br /> c. $6,000 due at completion of Construction Documents phase. <br /> d. $2,000 due at completion of Construction Administration phase. <br /> 2. Additional services:At the request of the Client,the Architect shall provide services not included <br /> herein for additional compensation.Compensation to Architect for Additional Services provided <br /> shall be on an hourly time and materials basis at the rate of$90 per hour. <br /> 3. The Client shall make payments to the Architect within 30 days of date of invoice.Payments <br /> shall be made by check payable to Studio North � Architecture+Design, LLC. <br /> 4. The Client will pay the balance stated on the invoice unless the Client notifies the Architect in <br /> writing of the particular item that is alleged to be incorrect within fifteen days from the date of <br /> invoice,in which case all undisputed items shall be paid and amounts in dispute shall become <br /> due upon an adjudicated resolution or upon agreement of the parties.All accounts unpaid after <br /> 30 days from the date of original invoice shall be subject to a service charge of 2%per month. <br /> Architect shall be entitled to recover all reasonable costs and disbursements, including <br /> reasonable attorney's fees,incurred in connection with collecting amounts owed by Client.In � <br /> addition,the Architect may,after giving seven days written notice to the Client,suspend <br /> services under this Agreement until the Architect has been paid in full for all amounts then due <br /> for services,expenses and charges. Client agrees that it shall waive any and all claims against <br /> Architect and that Architect shall not be responsible for any claims arising from suspension of <br /> services hereunder. <br /> General Conditions <br /> 1. Either party has the right to terminate this Agreement upon seven days written notice for <br /> convenience of either Client or Architect.Client will be responsible only for payment for services <br /> perFormed up to the date of cancellation. <br /> 2. If the Client fails to make payment on any undisputed amount,then the Architect has the right <br /> to suspend work and shall not be held responsible for any delays as a result. ', <br /> 3.
