Ilik, to Real Properk; Seller owns rho Real Property and on the date of closing, such Real Property shall be free and clear of all encumbrances. B. Environmental Laws, To the best of the Seller knowledge, no hazardous waste, toxic waste or solid waste substances have been treated, stored, released or disposed of on the Property. Sellers are not aware of any condition on the Property that could give rise to environmental liability. To the best Seller's knowledge,the Property does not now contain or has it in the past contained an underground storage tank, as that term is defined in Minnesota Statue§116.46, Subd.8. To the best of Sellers knowledge, no asbestos containing material is located on the Property. C. Rights afters to Pprehase fioperty. Seller has not entered into any other contracts for the sale of the Property, not are there any rights of first refusal or options to purchase the Property or any other rights of others that might prevent the consummation of this Agreement. D. E Le.TA. Seller is not a"foreign person","foreign partnership","foreign trust"or "foreign estate"as those terms are defined in Section 1445 of the Internal Revenue Code. E. Proeeedins. There is no action,litigation, investigation, condemnation or proceeding of any kind pending or to Seller's knowledge,threatened against Seller or any portion of the Property. 1 . Condition. As of the Closing Date,the buildings, structures and improvements included within the Property will be in substantially the same condition as of the date of this agreement, and all mechanical, electrical, heating, air conditioning,drainage, sewer, water and plumbing systems are in proper working order. G. Use of Real Property. Seller has not received any notice with respect to, and to the best of their knowledge, there are not any violations of any past or present governmental regulations,zoning or other ordinances, statutes, codes or orders of any type with respect to the Real Property which may affect the use of the Real Property. H. Flood Zone. To the best of Sellers'knowledge, the Real Property is not in a flood zone. 7. Broker's Commission. If the transaction contemplated by this Agreement is consummated in the time and manner required by this Agreement, Seller will pay all brokerage commissions to Close-•Converse Commercial Properties of • 5
