`-- Section 6. Notice of regular meetings of the Board shall be given to the Directors ��ke <br />�'°��°*�,�_'T,•�.��,,,.��.� at least seven (7) days in advance. However, business at regular meetings of the <br />Board need not be limited to matters set forth in the agenda. <br />ARTICLE 7. POWERS AND DUTIES OF THE BOARD The powers and duties of the <br />Board shall include the powers set forth in this article. <br />Section 1. It may take such action as it deems necessary and appropriate to accomplish the <br />general purposes of the organization. <br />Section 2. It may consult with persons knowledgeable in cable communications and persons <br />having a special interest therein, such as industry representatives, research organizations, educational <br />institutions, other political subdivisions, municipal organizations, regulatory organizations, technical <br />experts and any other persons who can provide pertinent information concerning cable communication <br />franchising and regulation. <br />Section 3. It shall provide such coordination, administration, and enforcement of the System <br />franchise as each party may delegate to it. <br />Section 4. It shall continually review the operation and performance of the System and report <br />to or prepare reports for any regulating agency as required by law. <br />�. Section 5. It shall oversee and regulate rates for Cable Service and respond to the applications <br />for changes in rates by the Cable Provider to the extent permitted by State and/or Federal law. <br />Section 6. It may make such contracts and enter into such agreements as it deems necessary to <br />make effective any power granted to it by this agreement or delegated to it by a party. It may contract <br />with any of the Parties or others to provide space, services or materials on its behalf. Any contracts let <br />or purchases made shall conform to the requirements applicable to Minnesota statutory cities and <br />townships. <br />Section 7. It may provide for the prosecution, defense, or other participation in actions or <br />proceedings at law in which it may have an interest, and may employ counsel for that purpose. It may <br />employ such other persons as it deems necessary to accomplish its powers and duties. Such employees <br />may be on a full-time, part-time or consulting basis, as the Board determines, and the Board may make <br />any required employer contributions which local government units are authorized or required to make <br />by law. <br />Section 8. It may conduct such research and investigation and take such action as it deems <br />necessary, including participation and appearance in proceedings of State and Federal regulatory, <br />Legislative or administrative bodies, on any matter related to or affecting cable communication's levels <br />of service, rates or franchises. <br />Section 9. It may obtain from Grantee and from any other source, such information relating to <br />� rates, costs and service levels as any party is entitled to obtain from Grantee or others. <br />
