RE-STATED JOINT AND COOPERATIVE AGREEMENT <br />� <br />� <br />ARTICLE 1. PARTIES. The parties to this agreement are governmental units of the State of <br />Minnesota. This agreement is made pursuant to Minnesota Statutes Sections 471.59 and 238.08. <br />ARTICLE 2. GENERAL. PURPOSE. The general purpose of this agreement is to establish <br />the Heartland Cable Commission, an organization to monitor; provide coordination and administration <br />and enforcement of the franchises; and to control the rates of the Cable Communications System; and <br />to conduct such other activities autharized herein as may be necessary to insure equitable and <br />reasonable rates and service levels for the citizens of the Parties of the organization. <br />ARTICLE 3. NAME. The name of the organization is Heartland Cable Commission. <br />ARTICLE 4. DEFINITION OF TERMS. For the purpose of this agreement, the terms defined <br />in this Article shall have the meanings given them. <br />Section 1. Commission. The term Commission means the organization created pursuant to this <br />agreement. The Commission consists of its Board of Directors. <br />Section 2. Council. The term Council means the governing body of a party. <br />Section 3. Grantee. The term Grantee means the person to whom a System Franchise has been <br />granted by a Party. <br />Section 4. Party. The term Party means a municipality which enters into this agreement, <br />including the Towns of �}e��: Jenkins and Pelican and the Cities of Breezy Point, Jenkins and Pequot <br />Lakes. Any adjacent Town/City may join if served by the same Cable Communications System. <br />Section 5. Executive Committee. The term Executive Committee means the Executive <br />Officers, President/Chairperson, Vice President/Co-Chairperson, and Secretary/Treasurer elected by <br />the Commission's Board of Directors as provided for herein under Article 5, Section 1. <br />Section 6. System. The term System shall mean the Cable Communications System. <br />Section_7. _ All reference to titles or duties i» this a�rreement are deeined to be �ender neutral. <br />ARTICLE 5. BOARD OF DIRECTORS. <br />Section 1. The governing body of the Commission shall be its Board of Directors consisting of <br />two (2) persons appointed by the Town/City Council of each participating party, one of whom shall be <br />a member of the Council a qualified voter of the respective community. Directors shall serve with <br />compensation from the Commission. <br />Section 2. There shall be no voting by proxy, but all votes must be cast by the Director at a <br />Board meeting. A Director who cannot attend anv meetin� in person mav full��articipate and vote in <br />� that meetin� via live audio/video link. <br />
