<br /> 8. Tenant shall maintain the premises and mechanical equipment including the plumbing,
<br /> heating and cooling equipment, in good condition. At the termination of the lease, Tenant agrees
<br /> to leave the premises in the same condition as it was received, except for normal wear and tear.
<br /> 9. The Tenant shall have the privilege of remodeling the leased premises or making alterations,
<br /> additions,modifications and improvements to the leased premises from time to time as the
<br /> Tenant, in its discretion,may deem to be desirable for its uses and purposes,provided that such
<br /> alterations, additions, modifications and improvements shall not adversely affect the structural
<br /> integrity or value of the leased premises and shall be located within the boundaries of the said
<br /> leased premises. The cost of such alterations,additions,modifications and improvements shall
<br /> be paid by the Tenant and the same shall be the property of the Landlord and be included under
<br /> the terms of this Lease as and shall become part of the leased premises.
<br /> 10. The Tenant will not,directly or indirectly,create, incur,assume or suffer to exist any
<br /> mortgage,pledge,charge, lien, encumbrance or claim, except the respective rights of the
<br /> Landlord and the Tenant as herein provided and Permitted Encumbrances,to be established or
<br /> remain on or against the leased premises, including any mechanics' liens for labor or materials
<br /> furnished in connection with any remodeling, additions,modifications, improvements,repairs,
<br /> renewals or replacements;provided,that if the Tenant shall first notify the Landlord of its
<br /> intention so to do,the Tenant may in good faith contest any mechanics'or other liens filed or
<br /> established against the leased premises, and in such event may permit the items so contested to
<br /> remain undischarged and unsatisfied during the period of such contest and any appeal therefrom
<br /> unless the Landlord shall notify the Tenant that, in the opinion of Independent Counsel, by
<br /> nonpayment of any such items the rights or interest of the Landlord will be materially
<br /> endangered or the leased premises or any part thereof will be subject to loss or forfeiture,in
<br /> which event the Tenant shall promptly pay and cause to be satisfied and discharged all such
<br /> unpaid items. The Landlord will cooperate promptly and fully with the Tenant in any such
<br /> contest. Except as expressly provided in this Section,the Tenant will promptly,at its own
<br /> expense,take such action as may be necessary duly to discharge or remove any such mortgage,
<br /> pledge, charge, lien,encumbrance or claim if the same shall arise at any time, and shall
<br /> reimburse the Landlord for any expense incurred by the Landlord in order to discharge or remove
<br /> any such mortgage,pledge,charge, lien,encumbrances or claim.
<br /> 11. Tenant shall be responsible for all taxes and assessments upon the leased premises, if any.
<br /> 12. Tenant shall obtain and at all times maintain in force,fire and extended coverage insurance
<br /> (including coverage against loss or damage by fire,wind, lightning,extended coverage perils,
<br /> vandalism and malicious mischief)on the leased premises and all structures, improvements,
<br /> fixtures and equipment constituting the leased premises,other than building foundations and -
<br /> excavations, on a replacement cost basis to the extent of the full insurable value of the property
<br /> to be so insured(without deduction for depreciation, architectural,engineering, legal or
<br /> administrative fees),together with broad form boiler and machinery insurance on all equipment
<br /> and objects customarily covered by such insurance and providing for full repair and replacement
<br /> cost coverage. Landlord shall be named as an additional insured on any such policies.
