9.4 Other Taxes. Seller shall pay all state deed taxes, state and county transfer taxes and <br /> sales taxes. Buyer shall pay recording fees arising out of the conveyance, except for the cost of <br /> recording such documents as are necessary to convey good and marketable title to the Property. <br /> 9.5 Closing. Any closing fee imposed shall be paid equally by Buyer and Seller. <br /> 10. Obligations of Seller at Closing. At closing, Seller shall execute and/or deliver to Buyer <br /> the following("Seller's Closing Documents"): <br /> 10.1 Deed, A Warranty Deed duly executed and acknowledged by Seller, in recordable <br /> form, conveying to Buyer good, marketable and insurable title to the Property free and clear of all <br /> liens, encumbrances, covenants, conditions, restrictions, rights-of-way, easements, leases, claims of <br /> tenants, occupants and possessory rights and any other matters affecting title except the Permitted <br /> Encumbrances. <br /> 10.2 Seller's Affidavit. An affidavit, duly executed and acknowledged by Seller, in <br /> customary form, relative to judgments, federal tax liens, mechanic's liens, unrecorded interests and <br /> other outstanding interests in the Property. <br /> 10.3 Title Documentation. Any and all documentation required by the terms of this <br /> Agreement so that the Title Company may issue the title policy described in Paragraph 6.1.1 of this <br /> Agreement("Title Insurance Policy"). <br /> 10.4 Possession. Possession of the Property free and clear from all liens and <br /> encumbrances and claims of tenants, secured parties or other occupants or possessory rights of the <br /> Property. <br /> 10.5 Abstract. Deliver to Buyer the abstract of title and/or Registered Property Abstract <br /> and Owner's Duplicate Certificate of Title if any part of the Property is Torrens. <br /> 10.6 Option Agreement. Seller shall enter into an Option Agreement with Buyer to <br /> purchase Lot One(1), Block Two (2)Pequot Lakes Industrial Park. <br /> 10.7 Other Documents. All other documents reasonably determined by Buyer to be <br /> necessary to transfer the Property to Buyer free and clear of all encumbrances, except Permitted <br /> Encumbrances. <br /> 11. Obligations of Buyer at Closing. Subject to the full, complete and timely performance by <br /> Seller of its obligations hereof, Buyer shall do the following: <br /> 11.1 Purchase Price. Deliver to Seller the balance of the Purchase Price in the manner set <br /> forth in Paragraph 2 hereof and authorize the payment of the Earnest Money to Seller. <br /> 11.2 Other Payments. Pay, or make satisfactory arrangements to pay, any sum required <br /> to be paid by Buyer pursuant any part of this Agreement. <br /> 5 <br />
