ARTICLES OF INCORPORATION SENTINEL OFFICE PARK OWNERS ASSOCIATION I, the undersigned incorporator, for the purposes of forming a corporation not for profit pursuant to the provisions of Minnesota Statutes Chapter 317A (the "Act"), and laws amendatory thereof, hereby adopt the following Articles of Incorporation: ARTICLE NAME The name of this corporation shall be Sentinel Office Park Owners Association (hereinafter referred to as the "Association"). ARTICLE II PURPOSE This corporation is formed for the purpose of constituting and acting as the association of unit owners within the meaning of the Minnesota Common Interest Ownership Act, Minnesota Statutes Sections 515B.1-101 to 51513.4-118, as amended, (the "Act"), for Sentinel Office Park, a common interest community (CIC) to be duly constituted under the Act upon certain land located in Crow Wing County, Minnesota. Such purposes shall include, but not be limited to, managing, operating and administering Sentinel Office Park, a common interest community. ARTICLE III NO PECUNIARY GAIN The Association shall not afford pecuniary gain, incidentally or otherwise, to its members, directors, officers or individuals, except that the Association shall be authorized and empowered to pay reasonable compensation for services rendered and may lease and purchase from, sell to, or otherwise deal with its members, directors, officers or others in respect to real and personal property situated in Crow Wing County, Minnesota and may hire accountants, attorneys, and other professional advisors, and shall have the power to own, lease, encumber and sell units within the Development. ARTICLE IV PRINCIPAL PLACE OF BUSINESSIREGISTERED OFFICE The principal place of business and the registered office of the Association shall be Pequot Lakes, MN 56472. 1
