AN AGREEMENT BETWEEN THE CITY OF PEQUOT LAKES AND DJV CONSULTING, LLC LOCAL GOVERNMENT CONSULTING SERVICES FOR THE CITY OF PEQUOT LAKES This Agreement, made and entered into this 1st day of October, 2015, by and between the City of Pequot Lakes, Minnesota, hereinafter called the "City", and DJV Consulting, LLC, hereinafter called the"Consultant", and shall cover Local Government Consulting services to be performed by the Consultant for the City,with such services and fees therefore agreed to as follows: 1. Purpose of Agreement: The Consultant shall serve as a local government consultant for the City. The Consultant shall furnish consulting services as deemed necessary by Consultant and directed by the City Council. The City shall provide all necessary equipment, supplies and staffing necessary to assist Consultant in the performance of his duties as a local government consultant. 2. Term of Agreement: This Agreement shall commence on the 1st day of October, 2015, and shall terminate on the day of 20_. 3. Compensation: The City shall pay the Consultant the sum of$65.00 per hour for said consulting services. The City shall reimburse the Consultant for out-of-pocket expenses, including,but not limited to, mileage (excluding miles driven from Consultant's home to City Hall). The Consultant will bill the City monthly for services and costs. Each bill shall detail the dates and hours of work on each date as well as any out-of-pocket expenses. 4. Consultant an Independent Contractor: The parties to this Agreement agree that the Consultant is a professional individual and that the relation created by this Agreement is that of employer-independent contractor. The Consultant is not an employee of the City, and is not entitled to the benefits provided by the City to its employees,including but not limited to group insurance, pension plans, and Public Employee Retirement Association (PERA). 5. Changes to the Agreement: Terms of this Agreement may be changed by mutual agreement of the City and the Consultant by either party giving thirty(30) days advance,written notice to the other party of its intention to change the agreement. Such changes must be approved by both parties and incorporated into written amendments to this Agreement. 6. Termination: This Agreement may be terminated by the operation of law,upon expiration of the term, or by either party giving ninety(90) days advance,written notice to the other party of its intention to so terminate. IN WITNESS WHEREOF,the City has caused this Agreement to be executed by the Mayor and attested by the City Administrator, and the Consultant has caused the same to be executed.
