"Property Documents." At the Closing, Seller shall assign to Buyer all of its right, title <br />and interest in and to the Property Documents. <br />19. Right of Cancellation. Buyer shall have the absolute and unqualified right to terminate <br />this Agreement at any time prior to the expiration of the Investigation and Approvals <br />Period, ending June 111, 2024, for any reason whatsoever or for no reason. In order to <br />proceed under this Agreement, Buyer must deliver written notice to Seller, reflecting <br />Buyer's decision to proceed (the "Notice to Proceed"), which Notice to Proceed must be <br />delivered to Seller prior to the expiration of the Investigation and Approvals Period. If <br />Buyer does not give a Notice to Proceed, this Agreement shall terminate. If this Agreement <br />is terminated pursuant to this Section, the earnest money referenced in Section 2.a. above <br />shall be promptly returned to Buyer and neither party shall have any further rights or <br />obligations hereunder, except for those matters that expressly survive termination of this <br />Agreement. If this Agreement is not terminated pursuant to this Section, and Buyer timely <br />issues the Notice to Proceed, thereafter the earnest money referenced in Section 2.a. above <br />shall not be refundable to Buyer, except in the event of a default by Seller of this <br />Agreement, or as otherwise provided for in this Agreement. <br />Remainder of this page intentionally left blank <br />10 <br />
