December 31, 2020, pursuant to which the lessee has planted crops on the <br /> Real Property that will be harvested at the completion of the 2020 growing <br /> season. <br /> b. Seller has not entered into any contracts for the sale of any of the Real Property <br /> other than this Agreement. Seller has received no notice of and has no knowledge <br /> of any rights of first refusal or first offer, options to purchase any of the Real <br /> Property or any other rights or agreements, which may delay or prevent <br /> consummation of this transaction. <br /> c. Seller has received no notice of and has no knowledge of any pending or proposed <br /> special assessments affecting the Real Property or any proposed or pending public <br /> improvements which may give rise to any special assessments affecting the <br /> Property. <br /> d. Seller has received no notice of and has no knowledge of any pending or <br /> threatened condemnation or transfer in lieu thereof affecting any of the Real <br /> Property. <br /> e. To Seller's knowledge, there is no pending, threatened or contemplated, litigation, <br /> investigation, arbitration, condemnation or other proceedings of any kind <br /> affecting the Real Property. <br /> f. As of the Closing Date, the Real Property shall have access to a public road and <br /> shall be a legally subdivided parcel. <br /> g. Seller has received no notice from any governmental authority of, and has no <br /> knowledge of, any violations of any applicable law with respect to the Real <br /> Property. <br /> Seller's representations and warranties shall remain true on the Date of Closing. Except <br /> as expressly set forth herein, the Real Property described in this Purchase Agreement is <br /> being sold in an"as is" and with"all faults" condition, Buyer hereby acknowledges that <br /> Buyer has had an opportunity to inspect the Real Property prior to the execution of this <br /> Agreement. Buyer's acceptance of title to the Real Property shall represent Buyer's <br /> acknowledgment and agreement that, except as expressly set forth in this Agreement: (i) <br /> Seller has not made any written or oral representation or warranty of any kind with <br /> respect to the Real Property(including without limitation express or implied warranties <br /> of title,merchantability, or fitness for a particular purpose or use), (ii) Buyer has not <br /> relied on any written or oral representation or warranty made by Seller, its agents or <br /> employees with respect to the condition or value of the Real Property, (iii) Buyer has had <br /> an adequate opportunity to inspect the condition of the Real Property, including without <br /> limitation, any environmental testing, and to inspect documents applicable thereto, and <br /> Buyer is relying solely on such inspection and testing, and(iv)the condition of the Real <br /> Property is fit for Buyer's intended use.
