5. Su6lettin�and Assi�nment Tenant shall not assign its interest in this Lease and sha11 not <br /> sublet any portion of the Pre7nises,or any right or privilege providet�under the Lease or use of <br /> the Premises,or suffer any other person to occupy or use any portion of the Premises. <br /> 6. Quiet Possession and Subordination. <br /> 6.1. Landlord covenants that Tenant,upon paying the rent and performing the covenants <br /> under this Lease, sha11 peaceably and quietly have,hold and enjoy the leased Premises <br /> for the term of the Lease. Except as herein provided,the Landlord shall deliver <br /> possession of the Premises in the condition required by this Lease on the <br /> Commencement Date. The taking of possession of the Premises by the Tenant shall be <br /> conclusive evidence that the Premises are in the agreed condition at the commencement <br /> of the Lease term. The Tenant acknowledges that it has inspected the Premises and, <br /> accepts the Premises in an"as is"condition. <br /> 6.2. This Lease is subject and subordinate to a11 present or future financial encumbrances on the <br /> Premises, and is fixrther subject to all present and future easements,conditions and <br /> encumbrances of record, and to all applicable laws,ordinances and governmental rules and <br /> regulations. Such subordination shall be self-executing without further act on the part of <br /> Landlord or Tenant;provided,however,that Tenant shall at any time hereafter, at the <br /> request of Landlord or any lien holder,or any purchaser of the Premises,execute any <br /> instruments that may be required,and Tenant hereby urevocably authorizes Landlord to <br /> execute and deliver in the name of Tenant any such instrument if Tenant fails to do so. <br /> 7. Permitted Uses and Tenant Resuonsibilities. <br /> 7.1. Tenant agrees to use the Building only for the purpose of operating a Chamber office <br /> with related Chamber visitor services. <br /> 7.2. Tenant shall be responsible for trash disposal necessary for the operation of its offices <br /> and related activities. <br /> 7.3. Tenant shall be responsible for all costs of its operations on the Premises, including but <br /> not limited to,telephone, cable,internet and any other utilities service charges,unless <br /> otherwise provided in this Agreement. <br /> 7.4. Tenant shall maintain the Premises in good condition. At the termination of this Lease, <br /> Tenant agrees to leave the Premises in the same condition as it was received, except for <br /> normal wear and tear. <br /> 7.5. Tenant shall be solely responsible for security of the Premises,including its equipment and <br /> for any loss,damage, or destruction thereof. <br /> 7.6. Tenant shall not cause,maintain or permit any nuisance in,on or about the Premises. More � <br /> specifically,Tenant sha11 not use or store any noxious chemicals on the Premises. <br /> 3 <br />
