SOURCEWELL PLANNING AND ZONING SERVICES PROGRAM <br /> PURCHASE OF SERVICE AGREEMENT <br /> This Purchase of Service Agreement (Agreement) is made efFective upon execution by all parties <br /> ("Effective Date"),by and between the City of Pequot Lakes, Minnesota, ("City")with its <br /> principal offices located at 4638 Main Street,Pequot L,akes, MN 56472 and Sourcewell, <br /> formerly known as National Joint Powers Alliance or NJPA, ("Sourcewell")with its principal <br /> offices located at 202— 12�'Street NE, Staples, MN 56479(collectively, "Parties"). <br /> RECITALS <br /> WHEREAS, Sourcewell is a service cooperative created under Minn. Stat. § 123A.21, which <br /> permits, in part, Sourcewell to enter into contracts with public and non-profit enrities to provide <br /> programming and services to meet the objectives of the sta.tute; and <br /> WHEREAS, there has been an increase in the need for planning and zoning services in Region � <br /> Five; and � <br /> WHEREAS, City wishes to purchase planning and zoning services from Sourcewell; and <br /> WHEREAS, Sourcewell agrees to furnish the planning and zoning services needed by City. <br /> NOW THEREFORE, in consideration of the premises, covenants and mutual promises contained ' <br /> in this Agreement, and other good and valuable consideration, the receipt and sufficiency of <br /> which is hereby acknowledged,the Parties do hereby agree as follows: <br /> ARTICLE I: PURCHASE OF SERVICES <br /> 1.1 Services. City agrees to purchase planning and zoning services and Sourcewell agrees to <br /> furnish a Pla.nning and Zoning Specialist to perform such services as outlined in Schedule <br /> A,which is attached hereto and incorporated herein. Said Planning and Zoning Specialist <br /> sha11 be employed by Sourcewell and supervised by Sourcewell's City/County Manager. <br /> 1.2 Expenses. Sourcewell agrees to pay all employment-related expenses for the Planning <br /> and Zoning Specialist, including salary,benefits,travel expenses, and training. <br /> 1.3 Additions and Modifications. Any modification this Agreement must be mutually agreed <br /> upon between the Parties and reduced to writing. <br /> 1.3.1 Unless otherwise agreed by the Parties, if the modification requires Sourcewell to <br /> provide additional services to City, City shall provide additional compensation <br /> consistent with the hourly rate outlined in Schedule A and paid in accordance <br /> with Article II of this Agreement. <br /> 1.3.2 If so requested, Sourcewell shall provide an estimate of costs prior to providing <br /> additional services and may not provide such services without City's consent. <br /> ARTICLE II: PAYMENT FOR PURCHASED SERVICES <br /> 2.1 Costs.
