Placement of a llirectory <br /> Sign within public right-of-way shall be at the locations identified on Eahibit A. <br /> Placement of a Directory Sign on private property sha�.l require an easement agreement <br /> with sa.id property owner and the Developer and a copy of said easement agreement shall <br /> � be provided to th.e City for review and approval prior to the placement af said Directory <br /> Slgri. <br /> 3. Maintenance. Upon installation of the Directory Signs, Developer shal.l be responsible <br /> for the maintenance, repair and general upkeep of the Directory Signs, including painting, <br /> staining, cleanin.g, and structural repair or replacement of the Directory Signs or any <br /> othex maintenance determined necessary by the City in its sole discretion to preserve the <br /> public right of way as safe an.d useable for the public. <br /> 4. Placement of Structures, Obsiructions, and Materials Prohibited. Developex shall <br /> not erect any structure other than approved Directory Signs or place any obshuction or <br /> material under, over, on, through, across or wit�un the public right of way wzthaut <br /> obtaining the prior written consent of the City. <br /> 5. Us� of Plantin�s in Directorv Si�ns. Developer, at its sole cost and expense, sha11 <br /> maintain an.y plantings or landscaping material used in the Dizectory Signs. <br /> 6. Ri'�ht to Remove. The City and its permitees shall have �thhe right to remove an.y <br /> unauthorized obstruc�ions or structures placed or erected under, over, on, through, across <br /> or within the public right of waX. In add.ition, the City reserves its right to control the <br /> public right of way. If the City, in its sole discretion, detemaun.es that the Directory Signs <br /> interfere with the public's or City's use of the public right of way, Developer sha11 <br /> remove the Directory Signs within 30 days from the date af written notice by the City. If <br /> fhe Directozy Signs xemain after 30 days, the City has the right to remove the Directory <br /> Signs and assess the cost to Developer. Any removal of the Directory Signs shall. be at <br /> Developer's sole cost and expense. <br /> 7. A�reement Runs with the Land. T'his Agreement shall be deemed to run with the land <br /> and shall be binding upon Developer and City and each parties' successors and assigns. <br /> The term Developer, includes, benefits, and binds Developer's permitees, licensees, <br /> successors, and assigns. The term City includes, benefits, and bind.s the City and its <br /> permitees, licensees, successors, and assigns. Notwithstanding th.e foregoing tb.is <br /> Agreement sha11 terminate on unless extended andlar modified by <br /> the City. <br /> 8. Assi�nment, This Agreement may not be assigned without the express written consent <br /> of the City except as provided in Section 7 of this Agreement. <br /> 9. Indemnification. Developer agrees to indemnify and defend the City, its officers, and <br /> agents against all damages, injuries, costs, and causes of action, including reasonable <br />
